Terms of Service

These Terms of Service ("Terms") govern your use of the RSB Registrations platform operated by RSB Registrations Pty Ltd (ABN to be registered) ("we", "us", "our"). By creating an account or using our services, you agree to be bound by these Terms.

1. About Our Service

RSB Registrations provides an online platform that assists users in preparing and lodging company registration applications with the Australian Securities & Investments Commission (ASIC), preparing and lodging Australian Business Number (ABN) applications with the Australian Business Register and the Australian Taxation Office (ATO), and managing post-registration compliance.

We are a registration agent, not a law firm or licensed financial adviser. Our platform does not provide legal, financial, or tax advice. You should obtain independent professional advice where appropriate.

2. Eligibility

To use our services, you must:

  • Be at least 18 years of age
  • Have the legal capacity to enter into a binding agreement
  • Provide accurate and truthful information in your application
  • Be authorised to act on behalf of the individuals named in the application (e.g. directors, shareholders)

3. Your Account

You are responsible for maintaining the confidentiality of your login credentials. You agree to notify us immediately if you become aware of any unauthorised use of your account.

We may suspend or terminate your account if we reasonably believe you have breached these Terms or provided false information.

4. Accuracy of Information

You are solely responsible for the accuracy of all information provided in your application, including director details, shareholder structures, company addresses, authorised contact details, tax registration choices, and ABN eligibility statements. Incorrect information submitted to ASIC, the Australian Business Register, or the ATO may result in delays, rejection, cancellation, or penalties.

We do not verify the truthfulness of information you provide, though our system performs basic validation checks.

5. Fees & Payment

Fees vary by service and are shown before you complete payment. For example:

  • Company registrations usually include an ASIC government fee and our platform service fee
  • ABN applications are charged at the current ABN service fee shown in the product at the time of payment
  • Any disclosed government or third-party pass-through fee will be shown to you before you authorise payment

All prices are in Australian Dollars and include GST unless stated otherwise. Fees are subject to change; any changes will be communicated before you complete payment. Government fees are set by the relevant authority and may change without notice from us.

Payment is processed securely through Stripe. We do not store your credit card details.

6. Refunds & Cancellations

Please refer to our Refund Policy for full details on refund eligibility. In summary:

  • Applications not yet submitted to ASIC or the ATO may be eligible for cancellation and refund under our Refund Policy
  • If an ABN application is returned because of a validation or Business API issue before it reaches the ATO, we may allow you to correct and resubmit the same paid application at no extra service fee
  • If the ATO rejects an ABN submission after lodgement, any further attempt requires a new application and payment of the then-current ABN service fee

7. Submission Outcomes

Approval decisions are made by ASIC, the Australian Business Register, and the ATO, not by us.

  • We do not guarantee that any application will be approved
  • We will notify you through the platform, email, SMS, or a combination of these channels when an application is completed, needs changes, or is rejected
  • We may also notify our internal support team when an application returns issues so we can assist or investigate
  • For ABN applications, a no-cost resubmission is only available where the issue arose before the application reached the ATO and the same application remains eligible to be corrected
  • Once the ATO rejects an ABN submission, that submission cannot be reopened and any new attempt is treated as a new paid application

8. Intellectual Property

All content, design, software, and branding on the RSB Registrations platform is owned by RSB Registrations Pty Ltd. You may not copy, modify, distribute, or reverse-engineer any part of the platform without our written consent.

9. Limitation of Liability

To the maximum extent permitted by Australian Consumer Law:

  • We are not liable for any indirect, incidental, or consequential damages arising from your use of the platform
  • Our total liability for any claim is limited to the amount you paid to us for the specific registration in question
  • We are not responsible for delays or errors caused by ASIC, the Australian Business Register, the ATO, or other government agencies

Nothing in these Terms excludes or limits consumer guarantees under Australian Consumer Law that cannot be excluded.

10. Disclaimer

Our platform is provided on an "as is" basis. While we endeavour to ensure the accuracy and completeness of our service, we do not guarantee that:

  • Your application will be approved by ASIC, the Australian Business Register, or the ATO
  • The platform will be available without interruption
  • Our guidance or suggestions constitute legal or financial advice

11. Electronic Communications

By creating an account, you consent to receiving essential transactional communications from us via email and SMS, including:

  • Registration status updates and confirmations
  • Returned issue notices, rejection notices, and resubmission instructions
  • Payment receipts
  • Compliance reminders and deadlines
  • Security alerts (e.g. password change confirmations)

You may separately opt in to marketing communications. You can unsubscribe from marketing emails at any time via the link in the email or through your account settings.

12. Privacy

Your use of the platform is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of New South Wales, Australia. You agree to submit to the exclusive jurisdiction of the courts of New South Wales.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you via email or an in-app notification at least 14 days before the changes take effect. Continued use of the platform after changes take effect constitutes acceptance of the revised Terms.
